1.

Agreement to These Terms

These Terms of Service (“Terms”) govern access to and use of Skuiddy websites, applications, APIs, Smart Sensors, Organizational Twin capabilities, documentation, software, and related services.

Skuiddy is developed and operated by LumaSeer LLC (“LumaSeer,” “Skuiddy,” “we,” “our,” or “us”).

By accessing or using Skuiddy, you agree to these Terms. If you use Skuiddy on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf.

If a separate written agreement between LumaSeer and a customer applies to the services, that agreement will control to the extent of any conflict.

2.

The Skuiddy Platform

Skuiddy is an Organizational Intelligence Platform designed to help organizations discover, map, understand, and monitor their technology, data, AI, identity, security, application, infrastructure, operational, and business ecosystems.

Skuiddy may provide:

  • Smart Sensors
  • Enterprise discovery
  • Organizational Twin capabilities
  • Entity and relationship mapping
  • Knowledge Coverage
  • Twin Confidence
  • Search and exploration
  • Workspaces and organizational Lenses
  • Insights, Findings, and Recommendations
  • Policies
  • Timelines and discovery history
  • APIs and software-development tools
  • Integrations
  • Reports and dashboards

Features may change, evolve, be added, or be discontinued as the platform develops.

3.

Accounts and Authorized Users

You agree to provide accurate account information and keep it current.

You are responsible for:

  • Protecting account credentials
  • Maintaining appropriate user permissions
  • Activities performed through your account
  • Promptly notifying us of suspected unauthorized access
  • Ensuring users comply with these Terms

You may not share credentials in a manner that bypasses authorized user limits or security controls.

4.

Customer Responsibilities

Customers are responsible for:

  • Determining which systems Skuiddy may access
  • Obtaining required permissions and authorizations
  • Configuring Smart Sensors appropriately
  • Applying least-privilege access
  • Reviewing integration permissions
  • Ensuring lawful use of connected information
  • Maintaining connected systems and accounts
  • Reviewing Skuiddy-generated insights and recommendations before acting on them

You represent that you have the rights and authority necessary to provide or authorize access to information processed through Skuiddy.

5.

Smart Sensors and Connected Services

Smart Sensors may connect to third-party platforms, cloud environments, applications, identity providers, repositories, data platforms, security tools, AI services, or other systems.

The availability and operation of integrations may depend on third-party services outside LumaSeer's control.

Customers acknowledge that:

  • Third-party APIs may change
  • Permissions may expire
  • Integrations may become unavailable
  • Discovery results may depend on granted access
  • Limited permissions may produce incomplete Organizational Twin information
  • Third-party service terms may also apply

Unless expressly stated otherwise, Skuiddy Smart Sensors are intended to operate using read-only or minimally required permissions. Customers should review all permissions before enabling an integration.

6.

Customer Data

Customers retain ownership of their customer data.

You grant LumaSeer a limited right to host, process, transmit, organize, normalize, relate, analyze, and display customer data as necessary to provide, secure, support, and improve the services.

You are responsible for the legality, quality, accuracy, and authorization of customer data provided to Skuiddy.

7.

Organizational Twin

The Organizational Twin is a dynamic representation generated from connected systems, customer-provided information, discovery activity, inferred relationships, rules, policies, and analytical processes.

Organizational Twin information may be:

  • Incomplete
  • Delayed
  • Inaccurate
  • Duplicated
  • Inferred
  • Dependent on third-party information
  • Affected by sensor permissions or availability

Knowledge Coverage and Twin Confidence are informational indicators and do not guarantee completeness, accuracy, security, compliance, or operational readiness.

8.

AI-Generated and Automated Results

Skuiddy may generate classifications, relationships, summaries, insights, findings, recommendations, predictions, or other outputs using artificial intelligence, machine learning, graph analysis, rules, or automated methods.

These outputs are provided for informational and decision-support purposes.

You are responsible for evaluating outputs before relying on them.

Skuiddy does not provide legal, financial, security, compliance, employment, medical, or other professional advice.

Do not use Skuiddy-generated output as the sole basis for decisions that may materially affect individuals, security, compliance, finances, operations, or legal rights.

9.

Acceptable Use

You may not use Skuiddy to:

  • Violate applicable law
  • Access systems without authorization
  • Collect information without appropriate rights or permissions
  • Circumvent authentication or security controls
  • Introduce malicious software
  • Disrupt platform operation
  • Conduct unauthorized security testing
  • Reverse engineer protected portions of the services except where permitted by law
  • Attempt unauthorized access to another customer's environment
  • Use the services to infringe intellectual-property or privacy rights
  • Misrepresent Skuiddy-generated information
  • Use the platform to develop or operate harmful, unlawful, or deceptive activities
10.

APIs, SDKs, and Developer Tools

Use of Skuiddy APIs, SDKs, command-line tools, sensor-development tools, and other developer resources may be subject to:

  • Authentication requirements
  • Rate limits and usage limits
  • Documentation requirements
  • Additional terms
  • Subscription restrictions

You may not attempt to bypass platform limits, interfere with service operation, or expose credentials or API keys.

11.

Intellectual Property

LumaSeer and its licensors retain all rights, title, and interest in Skuiddy, including:

  • Software and platform architecture
  • APIs and user interfaces
  • Smart Sensor Framework
  • Documentation
  • Branding, logos, and designs
  • Product terminology
  • Proprietary methods
  • Improvements and derivative technology

Except for the limited rights necessary to use the services, these Terms do not transfer intellectual-property ownership to you.

12.

Feedback

If you provide suggestions, ideas, enhancement requests, or other feedback, you grant LumaSeer permission to use that feedback without restriction or compensation.

We will not treat feedback as confidential unless separately agreed in writing.

13.

Availability and Changes

We may modify, improve, update, suspend, or discontinue portions of Skuiddy.

We may perform maintenance that temporarily affects availability.

We do not guarantee uninterrupted or error-free operation unless specific service commitments are included in a separate written agreement.

14.

Fees and Subscriptions

Certain Skuiddy capabilities may require a paid subscription.

Pricing, usage limits, billing terms, renewal terms, and cancellation terms may be described in an order form, subscription agreement, pricing page, or other applicable agreement.

Unless otherwise stated, fees are nonrefundable except where required by law.

15.

Suspension and Termination

We may suspend or restrict access when reasonably necessary to:

  • Protect platform security
  • Prevent unauthorized activity
  • Address violations of these Terms
  • Respond to legal requirements
  • Prevent harm to customers, users, or third parties
  • Address nonpayment under applicable agreements

You may discontinue use of the services at any time, subject to applicable subscription or contractual obligations.

Disclaimers

To the maximum extent permitted by law, Skuiddy is provided “as is” and “as available.”

LumaSeer disclaims warranties not expressly provided in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Skuiddy does not guarantee that:

  • All organizational resources will be discovered
  • All relationships will be identified
  • Organizational Twin information will be complete or error-free
  • All risks or security issues will be detected
  • All insights or recommendations will be accurate
  • Use of the platform will ensure compliance
17.

Limitation of Liability

To the maximum extent permitted by law, LumaSeer will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunity, or goodwill arising from or related to the services.

Any additional liability terms may be defined in an applicable customer agreement or order form.

18.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless LumaSeer and its officers, employees, contractors, and affiliates from claims arising from:

  • Your unlawful use of Skuiddy
  • Your violation of these Terms
  • Your unauthorized connection to third-party systems
  • Customer data you provide without appropriate rights
  • Your infringement of third-party rights
19.

Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

Any applicable venue or dispute-resolution requirements may be further defined in a separate written agreement.

20.

Changes to These Terms

We may update these Terms as the platform, applicable laws, or business requirements evolve.

The updated effective date will be displayed when changes are published. Continued use after updated Terms become effective constitutes acceptance where permitted by law.
